409a Compliance on Written Plan

Edison and Upper Saddle River, NJ – February 21, 2008 – The Internal Revenue Service recently issued Notice 2007-78 that provides plan sponsors an extension to December 31, 2008 to maintain compliance with written documentation relative to deferred compensation plans. Written language of a deferred compensation plan must be in compliance with the regulation as of the end of this year. Plans, therefore, have extra time to be modified to comply in the written form, but must continue to be in compliance operationally with Section 409A. Where written plan provisions don’t comply with the regulation, plan sponsors will not violate 409A if:

• The plan operates in compliance with 409A;

• Is amended on or before the December 31, 2008 deadline; and

• Complies with 409A retroactive to January 1, 2007.

What does this mean? Although the IRS has extended the deadline for compliance relative to written plan documentation, the plan itself must already operate under the 409A regulations. Therefore, there is no relief in the manner in which deferrals are made. Some of the key deferral aspects that 409A stipulates and for which compliance should already be in effect are as follows:

• Timing of deferrals. Deferral elections must be made before December 31 for compensation that will be deferred during the following calendar year. For example, compensation that will be deferred during 2008 would have required that the election be made before December 31, 2007. The exception to this election rule includes any “performance-based compensation”.

• Deferral of “performance-based compensation”. Performance-based compensation is any compensation that is contingent on satisfying pre-established performance objectives that cover a period of at least 12 consecutive months. An election to defer performance-based compensation may be made up to 6 months before the end of the period; this does not include amounts that will be paid regardless of performance, or if the amount is based on performance objectives that are certain to be met at the time they were established. Performance objectives are considered “pre-established” if they are documented, in writing, no later than 90 days from the beginning of the period. For example, assuming a short-term incentive plan runs from January 1 through December 31, 2008, with awards based on performance, a participant may elect to defer this form of compensation until June 30, 2008, so long as the objectives were established, in writing, by March 31, 2008, and that the level of performance cannot be currently ascertained.

• Changes to deferral options. A participant may change the form or timing of deferral, so long as: a) the election will not be effective until 12 months after the election is made; b) payments affected by such change are delayed for at least 5 years from the original payment date; and c) elections relative to distributions as of a specified time or on a fixed schedule are made at least 12 months before the scheduled payment date. This provision excludes payments made as a result of the participant’s death or disability.

• Delay in Payments for “Key Employees”. 409A requires that payments under a deferred compensation plan must be delayed 6 months for key employees, as defined by IRC §416(i). A key employee is one that, at any time during the plan year, is:

* an officer having an annual compensation greater than 0,000;

* a 5% owner of the company; or

* a 1% owner of the company having an annual compensation of more than 0,000.

Given that the administrative changes are already underway relative to deferrals, the following questions relative to written documentation should be evaluated and action taken by December 31, 2008 to comply with the transition relief period:

• Are there any aspects of the plan that still conflict with 409A?

• Does the plan’s language comply with the requirements under the regulation?

• Are deferral elections made on a written vehicle that complies with the regulation?

• Are elections for performance-based compensation made appropriately? Are performance objectives pre-established and is the level of performance against these objectives substantially unknown at the time that deferrals can be elected?

• Are changes to deferral options properly documented within the plan?

• Does the plan document reflect the following:

* Is in the form of a written document;

* States a specific formula to calculate deferred compensation;

* Indicates the payment schedule or triggering events;

* Specifies a six-month payout delay for “key employees”;

* Provides specific language regarding acceleration of distributions; and

* Includes a clause regarding substantial risk of forfeiture on deferred amounts?

Compliance with 409A is a key aspect of successful administration of deferred compensation plans, and obviously, avoidance of scrutiny and penalties. A thorough examination of administration of your deferred compensation plans and implementation of changes to maintain compliance of written documentation is essential before the December 31, 2008 deadline. Outside professional advice can provide an objective look at your deferred compensation arrangements, and provide the necessary guidance to move towards full compliance with 409A.

The Age Requirement

Persons under 30 years of age with good English skills and qualified in a 60 point occupation (through 2 years of study in a regional area in Australia) will gain 120 points which is the current target.

Sought-after Trades Skills

Which skills are in demand?
Nurses, Accountants, Cooks, Hairdressers, Bricklayers are on the MDOL.

The MODL is reviewed at least every 6 months. This is done in line with the current workforce demands at the time. For example, If you proceed to do cookery courses , ensure that when by the time you’re expected to complete the course, your newly attained skill will still feature on the MODL. Remember, not all courses will qualify you for a migration outcome. In order to be granted points, you’ll need to meet the criteria that are set down by the relevant assessing body. Particularly for the occupation you’re studying for as shown on the SOL.

The Requirements

Ensure that you’re in possession of the necessary requirements. You’ll need one of the following;

Degree or Postgraduate qualification that is on the assessing body’s accredited list. Examples; accountants or IT Specialists.

Certificate III in a specific subject and 900 hours that are recognised as relevant work experience is needed. Examples; bricklayers, hairdressers’ or Automotive Mechanics.

Recognised qualification that incorporates a minimum amount of days done under supervised work experience.

High English Score - For example, teacher and nurses require 7.0 on the international English Language Testing System Test or;

Diploma or Degree that features on the accredited list

Applicants must ensure that the course that they’re studying for will meet the criteria of the relevant assessing body.

These requirements may change. Throughout the past five years to qualify as a cook and attain 60 points, the TRA assessing body required students to have the following;

One year Certificate III in Commercial Cookery,
One year Certificate III in Commercial Cookery,
Have Passed Skills Test,
Hold a Certificate III (in conjunction with a minimum two year study package) and
900 hours of relevant work experience.

What’s worth Knowing?

Once you’ve applied for your student visa, it can take up to 3 months to be granted, before courses commence. You’re obligated to attend at least 80 per cent of your classes. You’re also expected to meet your course requirements. Moreover, immediate dependent family members are generally included on the student visa. Child Dependants of school going age must be enrolled in a school before your visa is granted. It’s greatly advised that you consult a clued up consultant that is proficient in dealing with such cases.

It’s also important to remember that you’ll not be allowed to work until you’ve started the course and applied for work rights.

Once you’ve applied for work rights, you’ll be permitted to work for 20 hours per week during term and full-time during holidays. Your partner or spouse will be allowed to work 20 hours a week during the entire student visa period, once he/she has been granted work rights. Note that spouses of students studying towards a Masters or research Masters or PHD are permitted to work full-time. Although work that is registered as part of your course will not be included in the limited 20 hours.

Being Taken for Granted

Nobody likes to be taken for granted, but I’m starting to see more and more of this from a consumer point of view. For example, consider magazine and newspaper subscriptions where you are not rewarded for longevity; instead, you carry the load as rates go up and up with each passing year. It seems the longer you are a customer, the less you are appreciated and the more you are taken advantage of. I guess seniority and tenure doesn’t carry much weight anymore.

One way to overcome this problem is to shop around every now and then. It seems the only way you can get someone’s attention is to cancel their service and go with something else. I have a friend who runs a restaurant and he felt his coffee supplier was taking him for granted. Please understand, this was a vendor he had been using for over twenty years. Their service wasn’t that good anymore and their prices had been escalating in recent times. Worst of all, the vendor simply didn’t care if the customer was satisfied or not, and this was really the straw that broke the camel’s back. My friend shopped around and found a new supplier who provided better service at a fair price. He then told his old supplier that his service was no longer needed. This shocked the vendor who couldn’t believe my friend was going elsewhere after so many years of service. Only then did he try to make amends with my friend.

Maybe by canceling service and trying something else is the only way we can send companies a wake-up call. And if enough people did it, we might just get the type of customer service we all deserve. For example, imagine the effect a “National Subscription Cancellation Day” would have where everyone canceled their magazine and newspaper subscriptions. Then on the next day they could subscribe again as new customers thereby entitling them to the new lower rates and all of the fun prizes the publications like to offer. First, such an event would probably bring the publishers’ computers to their knees. But more importantly, it would send a powerful message to the publishers that we do not like to be taken for granted. I know people do not like to interrupt service, but it would be worth it in the end.

Two other areas where we are being taken for granted are insurance rates and gasoline prices. Living in Florida, we are acutely aware of the high price of coverage for wind-storm damage. Frankly, it’s pricing a lot of people right out of the state and has had a dramatic impact on new home construction. The gulf coast, the Atlantic coast, California, the tornado belt, and the frozen north are also feeling the pinch of escalating insurance costs (and I think that just about covers everyone in the States). I don’t think I need to explain the problem with rising energy prices and how the oil companies are making record profits. I just wonder who is standing up for the consumer? It sure isn’t our local, state, or federal government as our leaders all like to dance to the fiddle of lobbyists.

No, the real power lies in the consumer, a slumbering giant who could cause havoc if he ever woke up. We just need a lot more people like my restaurant friend who was tired of being taken for granted and finally put his foot down. We do not necessarily need a major organized campaign to protect ourselves, we only need to refuse to accept inferior workmanship and service. More simply, we just need to refuse to be taken for granted. Just remember, in most cases you can only be taken advantage of if you allow yourself to be taken.
